SeniorCareRating.com is operated by an Illinois limited liability company (“Operator,” “we,” “us,” or “our”). These Terms of Use (the “Terms”) govern your access to and use of the website, its pages, data, and features (the “Site”).

1. Acceptance of these Terms

By accessing, browsing, searching, using, viewing, or otherwise interacting with the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

2. Operator

The Site is owned and operated by an Illinois limited liability company. Operator is an independent private company. References to government agencies or facilities on the Site are for identification of publicly reported data only and do not indicate any relationship with, endorsement by, or sponsorship from those entities (see Section 4).

3. Informational purpose only (public data)

The Site summarizes, organizes, formats, and presents public data published by the U.S. Centers for Medicare & Medicaid Services (“CMS”) and other public sources, for general informational purposes only. The Site reports CMS-published facts (such as CMS star ratings, inspection records, penalty records, care measures, and ownership fields) and does not add our own rating, score, ranking, or opinion.

4. No affiliation

SeniorCareRating.com and Operator are not affiliated with, endorsed by, sponsored by, or associated with CMS, Medicare.gov, the U.S. Department of Health and Human Services (HHS), any federal or state agency, any nursing home or other facility, any facility operator, or any ownership group. All product names, trademarks, and registered trademarks are the property of their respective owners.

5. No medical, legal, financial, professional, or care-placement advice

The Site does not provide medical advice, legal advice, financial advice, nursing-home or provider recommendations, care-placement advice, professional advice, or any suitability, safety, or quality determination. Nothing on the Site is a substitute for the independent judgment of qualified professionals, a facility visit, or the official record. The Site is not an emergency service; for a medical emergency, call 911.

6. No reliance; verify with official sources

You must not rely solely on the Site for any decision. You are responsible for independently verifying any information with official sources, including CMS / Medicare.gov Care Compare, the relevant state survey agency, the facility itself, and qualified professionals, before making any decision.

7. Data may be incomplete, delayed, stale, incorrect, or changed

Public data, including CMS data, may lag current conditions, contain errors or omissions, be incomplete, or be updated, corrected, or withdrawn after we publish it. Operator does not warrant or guarantee the accuracy, completeness, timeliness, currency, reliability, availability, or fitness for any purpose of any information on the Site, and is not responsible for source-data errors.

8. Ownership-group caveat

Ownership, parent-company, and grouping pages reflect Facilities grouped by CMS-reported ownership fields. These groupings are derived from public CMS-reported fields and must not be read as a legal conclusion about ownership, control, responsibility, fault, operation, management, agency, alter-ego status, liability, or wrongdoing of any company, facility, or person. The appearance of a company or facility in a group does not imply it controlled, operated, or is legally responsible for any other facility.

9. User responsibility

You are solely responsible for your access to and use of the Site and for any decision you make or action you take based on it. You assume full and sole responsibility for your use of the Site and any reliance on its content.

10. Prohibited uses

You agree not to, and not to permit any third party to:

  • scrape, crawl, harvest, or bulk-extract data or content except as expressly permitted;
  • reverse engineer, decompile, or attempt to derive source code or non-public structure;
  • use the Site or its data to harass, intimidate, defame, or target any facility, owner, resident, employee, or family;
  • use the Site for any unlawful, defamatory, misleading, deceptive, harassing, or discriminatory purpose;
  • make or imply false, misleading, or unsupported claims using Site content;
  • interfere with, disrupt, overload, or impair the Site or its infrastructure;
  • engage in automated access, denial-of-service, or other disruptive activity;
  • attempt to access non-public systems, accounts, or data;
  • misrepresent, distort, or selectively present Site data in a misleading way;
  • copy, reproduce, or redistribute Site content at scale; or
  • use the Site or its content to train machine-learning models or to build a competing product or database, except with our prior written permission and to the extent such restriction is enforceable.

11. Intellectual property

As between you and Operator, Operator owns and reserves all rights in the Site, including its design, look and feel, compilation, selection, arrangement, presentation, summaries, editorial organization, software, code, and branding. Nothing in these Terms grants you any right in our intellectual property except a limited, revocable, non-exclusive, non-transferable license to view the Site for your own personal, non-commercial use in accordance with these Terms. Underlying public-domain or government-source data remains subject to its original source terms and status.

12. Corrections

You may report suspected errors through our contact & corrections process. Because the data is sourced from CMS, the authoritative fix for most issues is at the source. Operator has no obligation to investigate, respond to, update, or modify any content except as it chooses or as required by law.

13. Third-party links and sources

The Site references and may link to third-party sites and sources, including CMS, Medicare.gov, and state agencies. Operator does not control and is not responsible for the content, accuracy, availability, policies, or practices of any third-party site or source, and inclusion of a link is not an endorsement.

14. Availability and changes to the Site

Operator may modify, suspend, restrict, discontinue, or remove the Site or any part of it at any time, with or without notice, and is not liable to you or any third party for doing so.

15. Disclaimer of warranties

THE SITE AND ALL CONTENT AND DATA ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, Operator AND THE PROTECTED PARTIES (DEFINED BELOW) DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES REGARDING ACCURACY, COMPLETENESS, TIMELINESS, UNINTERRUPTED OR ERROR-FREE OPERATION, DATA INTEGRITY, OR SECURITY. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

16. Limitation of liability

Protected Parties” means an Illinois limited liability company, and its members, managers, officers, directors, employees, contractors, agents, service providers, licensors, successors, and assigns.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE PROTECTED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, REPUTATIONAL HARM, BUSINESS INTERRUPTION, OR RELIANCE DAMAGES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, including any claim relating to care-placement decisions, medical or care outcomes, regulatory actions, disputes with facilities or third parties, data errors or omissions, or third-party conduct, even if advised of the possibility of such damages and regardless of the theory of liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNTS YOU PAID TO Operator FOR USE OF THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. [Dollar cap noted for counsel review.]

17. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Protected Parties from and against any and all claims, demands, actions, investigations, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

  • your access to or use of the Site or its data;
  • your reliance on, or any decision or action you take based on, Site content;
  • your violation of these Terms or of any applicable law;
  • your misuse of CMS or other public data;
  • your communications with facilities, residents, families, employees, owners, regulators, or other third parties;
  • your publication, republication, copying, scraping, or redistribution of Site content;
  • any claim or dispute you have involving nursing homes, residents, families, employees, owners, or regulators;
  • your submissions or correction requests;
  • your infringement or violation of any third-party right;
  • your automated access to or interference with the Site; or
  • your careless, wrongful, fraudulent, misleading, or unlawful acts or omissions.

Operator may, at its option, assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with such defense. You will not settle any matter affecting the Protected Parties without Operator’s prior written consent.

18. Release

To the fullest extent permitted by law, you release the Protected Parties from any and all claims, demands, and damages of every kind arising out of or relating to your use of public data, third-party facilities, public agencies, external sources, or your own decisions. If you are a California resident, you waive California Civil Code § 1542 and similar laws, which would otherwise limit a release to claims you know or suspect to exist.

19. Dispute resolution; class-action and jury-trial waiver

To the fullest extent permitted by law, any dispute will be resolved on an individual basis, and you and Operator waive any right to participate in a class, collective, or representative action and waive any right to a jury trial. Nothing in this section limits either party’s right to seek relief in a small-claims court where available.

20. Governing law and venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to the waiver above will be the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction there. 21. Severability and waiver

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it.

22. Changes to these Terms

Operator may update these Terms at any time by posting a revised version with a new effective date. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
